Please read these Terms of Service carefully before using JustDelegate AI. By creating an account, you agree to be bound by these terms.
1. Introduction
JustDelegate AI Pty Ltd (ABN: XX XXX XXX XXX) ("JustDelegate", "we", "our", "us") operates justdelegate.ai and provides an AI-powered agent platform that enables businesses to automate customer interactions via chat, phone, and other channels (the "Service").
These Terms of Service ("Terms") govern your access to and use of the Service. By creating an account or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
References to "you" or "Customer" mean the individual or organisation that registers for and uses the Service.
2. Acceptable Use
You may only use the Service for lawful purposes and in accordance with these Terms. You must NOT use the Service, or configure your AI agents, to:
- —Send spam, bulk unsolicited messages, or communications without appropriate consent
- —Impersonate any person, organisation, government agency, or other entity
- —Conduct scam calls, phishing attempts, or fraudulent communications of any kind
- —Harass, threaten, abuse, or intimidate any person
- —Engage in any activity that is unlawful under Australian federal or state law, or applicable international law
- —Engage in misleading or deceptive conduct under the Australian Consumer Law or any equivalent legislation
- —Conduct telemarketing without consent as required under the Do Not Call Register Act 2006 (Cth)
- —Collect personal information without proper disclosure and consent
- —Provide medical, legal, or financial advice without appropriate qualified professionals
- —Reverse-engineer, decompile, or otherwise attempt to extract the source code or underlying models of the Service
- —Resell, sublicence, or white-label the Service without our prior written consent
JustDelegate reserves the right to determine, at its sole discretion, whether use of the Service violates these acceptable use requirements.
3. Customer Responsibility
You are solely responsible for:
- —All content, instructions, and data you provide to configure your AI agents, including knowledge base documents, persona instructions, and scripts
- —Ensuring your AI agent's responses are accurate, appropriate, and do not constitute misleading or deceptive conduct
- —Obtaining all necessary consents from end users before collecting their personal information via your agents
- —Ensuring your use of AI phone agents complies with call recording disclosure obligations in your jurisdiction
- —Any claims, disputes, or legal proceedings arising from your AI agent's interactions with your customers or third parties
- —Maintaining the security of your account credentials
You must not configure agents with inaccurate information that could mislead or harm end users. JustDelegate is a technology platform and is not responsible for the content or outcomes of your agents' interactions.
4. AI Disclaimer
The AI agents powered by our platform generate responses using large language models (LLMs) provided by third parties including Anthropic (Claude) and OpenAI. You acknowledge and agree that:
- —AI-generated responses may contain errors, inaccuracies, or hallucinations
- —We make no guarantee as to the accuracy, completeness, or fitness for purpose of any AI-generated content
- —AI agents are not a substitute for qualified professional advice (legal, medical, financial, or otherwise)
- —You should not rely solely on AI-generated responses for critical business decisions
- —AI model behaviour may change over time as underlying models are updated
5. Indemnification
You agree to indemnify, defend, and hold harmless JustDelegate AI Pty Ltd, its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- —Your use of the Service or your AI agents' interactions with end users
- —Your violation of these Terms or any applicable law or regulation
- —Any content you submit to or through the Service
- —Any claim by a third party that your use of the Service infringed their rights
- —Any harm caused to your customers or third parties by your AI agents' responses
This indemnification obligation survives termination of your account and these Terms.
6. Intellectual Property
JustDelegate's IP: All rights, title, and interest in and to the Service, including the platform, software, AI infrastructure, and underlying technology, are owned by JustDelegate AI Pty Ltd or its licensors. These Terms do not grant you any ownership interest in the Service.
Your IP: You retain all ownership rights in your data, including knowledge base documents, business information, and customer data you provide to the Service. You grant JustDelegate a limited, non-exclusive licence to process and use your data solely to provide the Service.
Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant JustDelegate a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose without compensation to you.
7. Data & Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.
We comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). As a Customer who collects personal information from end users via your AI agents, you are also a data controller with your own obligations under applicable privacy law.
You are responsible for ensuring you have an appropriate privacy policy in place for your end users and that your use of JustDelegate's Service complies with your privacy obligations.
8. Subscription & Payment
Your subscription to the Service is subject to the following payment terms:
- —Subscriptions are billed monthly in advance and automatically renew on the same day each month
- —All prices are in AUD unless otherwise stated and are inclusive of GST where applicable
- —No refunds are provided for partial months; if you cancel mid-period, you retain access until the period ends
- —We may change pricing with 30 days' written notice via email to your registered address
- —Continued use of the Service after a price change constitutes acceptance of the new pricing
- —Payment is processed by Stripe; we do not store your payment card details
- —Failed payments may result in immediate suspension of your account
9. Suspension & Termination
By JustDelegate: We may suspend or terminate your account immediately and without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or your use poses a risk to the platform or other users. No refund will be issued for accounts suspended for violations.
By You: You may cancel your subscription at any time through your billing settings or by contacting us at hello@justdelegate.ai. Cancellation takes effect at the end of your current billing period.
Effect of Termination: Upon termination, your access to the Service ceases. We may delete your account data after 30 days of termination in accordance with our Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by Australian law:
- —The Service is provided "as is" and "as available" without warranties of any kind, express or implied
- —JustDelegate's total liability to you for any claims arising under these Terms is limited to the total amount you paid to JustDelegate in the 12 months preceding the claim
- —JustDelegate is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity
- —JustDelegate is not liable for any harm caused by third-party AI models (Anthropic Claude, OpenAI), telephony providers, or other third-party services integrated with the platform
Nothing in these Terms excludes any right or guarantee that cannot be excluded under Australian Consumer Law, including consumer guarantees relating to services.
11. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, either party may initiate proceedings in the courts of New South Wales, Australia, to whose exclusive jurisdiction both parties submit.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email to your registered address at least 14 days before they take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance.
For non-material changes (such as corrections, clarifications, or new feature descriptions), we may update these Terms without prior notice. The "Last updated" date at the top of this page will reflect when changes were made.
